- Where a clause requires substitution of party names, 'Buyer' substitutes for 'Government' and 'Seller' substitutes for 'Contractor', except where context requires otherwise.

Quality and counterfeit-prevention flow-down
Where the underlying contract invokes counterfeit-electronic-part requirements (DFARS 252.246-7007 / 7008), Seller maintains a counterfeit-electronic-part detection and avoidance system that satisfies the clause and aligns with the controls identified in our Counterfeit & SUP Policy at /policies/anti-counterfeit.
Cybersecurity flow-down (DFARS 252.204-7012)
- Seller implements security requirements in NIST SP 800-171 to the level appropriate for any Covered Defense Information shared.
- Seller reports cyber incidents to DoD within 72 hours of discovery and provides the contract reference within the report.
- Seller flows down equivalent obligations to its sub-tier suppliers handling Covered Defense Information.
